These Website Terms of Use (“Terms”) apply only to the public Quai.MD website/homepage (the “Site”). They do not apply to any Quai.MD products or services (including any software, apps, APIs, integrations, pilots, trials, or paid offerings). Use of any products or services is governed only by the applicable written agreement(s) and/or service terms provided with those offerings.

By accessing or using the Site, you agree to these Terms.

Use of the Site
You may use the Site only for lawful purposes and only as intended (to view our public information). We can suspend or block access to the Site at any time.

Prohibited uses (including AI / automated use)
You agree not to, and not to help others to:

  • access, probe, scan, test, or bypass Site security, or interfere with the Site (including by introducing malware or running denial-of-service attacks);
  • scrape, crawl, harvest, or copy the Site using automated means (except normal search engine indexing);
  • use any Site content, data, or output to develop, train, fine-tune, validate, benchmark, or improve any software program or artificial intelligence / machine learning model (including large language models), or for automated data mining;
  • use the Site for competitive analysis or benchmarking without our prior written permission;
  • copy, reproduce, distribute, publicly display, sell, license, or create derivative works from the Site or its content, except where permitted by law or with our written permission;
  • misrepresent your identity or affiliation when interacting with the Site or contacting us.

Intellectual property
The Site and its content (including text, visuals, logos, and design) are owned by Quai.MD or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view and use the Site for its intended purpose. All rights not expressly granted are reserved.

Information you submit to us
If you contact us or submit information through the Site (for example, via a form or email), you confirm you have the right to share it.

Do not send sensitive information through the Site, including patient data/PHI, credentials, secrets, or any information you are not authorized to disclose.

If you send us suggestions, ideas, or feedback, you agree we can use them without restriction or obligation to you (including to develop, improve, or operate our offerings), to the extent allowed by law.

Privacy
Our Privacy Policy explains how we collect and use information from Site visitors (for example, via cookies/analytics, logs, and forms). By using the Site, you agree to our handling of information as described there.

Third-party links
The Site may include links to third-party websites. We don’t control them and aren’t responsible for their content, policies, or practices. Your use of third-party sites is at your own risk.

THE SITE IS FOR GENERAL INFORMATION ONLY. THE SITE DOES NOT PROVIDE MEDICAL OR CLINICAL ADVICE, DIAGNOSES, OR TREATMENT RECOMMENDATIONS, AND IT IS NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT. DO NOT RELY ON THE SITE FOR MEDICAL DECISIONS.

The Site is provided “as is” and “as available.” We do not promise that the Site will be accurate, complete, up-to-date, uninterrupted, secure, or error-free. We disclaim warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability
Quai.MD will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to the Site.

Quai.MD’s total liability for any claim relating to the Site will not exceed US $50.

Indemnification
If you violate these Terms or misuse the Site, you agree to defend and indemnify Quai.MD against resulting claims, liabilities, damages, and expenses (including reasonable legal fees), to the extent allowed by law.

Copyright complaints (notice and takedown)
If you believe content on the Site infringes your copyright, send a notice to:

Include: (1) your contact information, (2) a description of the copyrighted work, (3) the URL or location of the material, (4) why you believe it’s infringing, and (5) a statement that the information is accurate and you are the rights owner or authorized to act for the owner.

Eligibility
You represent that you are at least 18 years old (or the age of legal majority where you live) and have the legal capacity to agree to these Terms.

Electronic communications
You agree that notices and communications may be provided electronically (for example, on the Site or by email), and that such communications satisfy legal requirements for written notice.

Governing law and venue
These Terms are governed by the laws of the State of Israel. Courts located in Tel Aviv–Jaffa will have exclusive jurisdiction, except where applicable law requires otherwise.

Miscellaneous
If any part of these Terms is unenforceable, the rest remains in effect. If we don’t enforce a provision, that is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset transfer. Any limits or exclusions in these Terms apply only to the extent permitted by applicable law.
